Someone who is detail-oriented, possesses strong organizational skills, can understand both legal and business perspectives, and who has the interpersonal skills to deal with people at all levels of the organization. The Legal Counsel sits on Trapeze’s legal team, oversees the work of supporting Contract Managers, and reports to Trapeze’s General Managers with a dotted line to Group Legal Counsel. The right candidate for this position will have very strong verbal and written communications skills as well as the ability to handle multiple tasks concurrently. Experience in public sector contract procurement, software licensing contracts, and legal team management are assets. Our Legal Counsel is involved with end-to-end contract work – the drafting, management, negotiation administration, and enforcement of various contracts, including software license, software maintenance, sub-contractor, non-disclosure, teaming, and vendor agreements. The position also requires reviewing, negotiating, and preparing responses to requests for proposals and other bid documents, and ensuring that the resulting agreements and awards reflect the negotiated terms and conditions. Legal Counsel will also provide guidance and support on other business legal needs from time to time, which may include employment, intellectual property, and risk management matters. Our Legal Counsel will work from home anywhere in Canada or the US, with the opportunity to travel around the world from time to time for company meetings, team-building exercises, and conferences. They will be able to choose the working hours that work best for them within the core business hours.

Responsibilities

Provides accurate, timely, and professional counsel to all levels of the organization, including executives, on a variety of legal topics that cross multiple geographies. Applies effective risk management techniques and offers proactive advice on possible legal issues. Manages, directs, and mentors direct-report Contract Managers on a day-to-day basis. Reports to General Managers and consults with Group Legal Counsel to deliver updates, receive guidance, and align their work with the business’ priorities. Reviews incoming customer requests for proposals, identifies proposal requirements, reviews terms and conditions for acceptability and compliance with company policies and procedures, assists in proposal development as required, and participates in securing required management approval for submitting proposals to customers. Performs contract/subcontract review, negotiates and interfaces with customer/vendor contracting personnel. Works with management, sales, finance, and service teams to manage and structure contracts, including by participating in team reviews, negotiations, and approvals. Takes proper action to close out contracts in accordance with applicable procedures at the conclusion of all activity. Assures the timely communication of legal and contract information with management and other stakeholders, and maintains complete and accurate contract files. Supports the development of new legal workflows, policies, and procedures to improve legal team processes and efficiency. Tests and implements new legal technology and AI tools to enhance legal review efficiency and effectiveness. Collaborates with other legal teams, including attending group meetings and sharing information on legal risks, trends, and developments. Works autonomously. Plans, schedules, and arranges, their team’s and their own activities to accomplish objectives. Some travel is required. Candidate must be able to travel to and within Canada and the U.S.A.

Qualifications

A university degree in law is mandatory. Qualified candidates must have been called to the Bar (in Canada or USA) and be in good standing. Strong corporate and commercial law skills and experience, including familiarity with software licensing agreements, public procurement, and contract negotiation. Experience managing teams and interacting with customers in a direct capacity. At least 4 years of related experience is required. This Job Posting is for a current vacancy within our organization.
